They are not the same thing. Confusing them is how programmes lose their way.
Digital modernization is making existing capabilities better: a legacy application re-platformed, a manual process digitised, infrastructure moved to the cloud. The business does roughly the same things, more efficiently and with a lower cost of change.
Digital transformation is changing what the business does or how it operates: new services, a different operating model, decisions made in fundamentally different ways. Modernization is often a prerequisite, but it is not the same goal.
Why the distinction matters
Programmes get into trouble when they are sold as transformation but scoped as modernization, or vice versa. A “transformation” that only re-platforms the old system delivers disappointment. A “modernization” that quietly redesigns the operating model runs over budget and past its sponsors.
A healthier framing
Most organizations need both, sequenced: modernize the foundations that are holding you back, and transform the operations where there is real strategic value in doing things differently. Be explicit about which one each workstream is.
